This Spirit Gear Drive or Wholesale Order ("Agreement") is entered into KREDO INC, a Colorado limited liability company, ("Believe", "we", "our," "us" doing business as Believe Kids, Believe Kids Fundraising, Spirit Gear Direct, FundGive, PoP4Kids, and Polar Pals Holiday Shop, collectively the "DBAs") located at 9540 Maroon Cir Ste 310, Englewood, CO 80112, and the organization listed above ("Client", "You", "Awesome Fundraising Group"), and is effective as of the date listed on this Agreement.  Believe and Client may hereinafter be referred to individually as a "Party," and collectively as the "Parties." This Agreement, and any invoices delivered pursuant to this Agreement, are subject to the "Terms and Conditions" below which are incorporated by reference and made part of this Agreement and all invoices from us to you.  Whew:  That basically said we have terms and conditions like any other company.

All payments must be made payable to "Believe Kids Fundraising" or "Spirit Gear Direct" and must be sent to 9540 Maroon Cir Ste 310, Englewood, CO 80112. No other person or entity is authorized to accept payment on behalf of Believe. Preferred payment methods include check, money order, cashier check and check by phone. All prices/invoices include a built-in 3% discount when paid via our preferred payment methods. Credit card payments are accepted but will result in the 3% discount reversal.  Groups not associated with a public school district must submit payment when submitting order forms or prior to production of your custom spirit wear items. Fifteen-day terms are available to public schools and groups which provide us with a district or school generated purchase order. Once we receive payment or the purchase order, we'll produce the items.

There is a $35 fee when bad things like bouncing a check happen. Any balance due accrues interest at 25% APR or maximum permitted by law. Group agrees to pay collection costs or attorney fees in cases of unpaid accounts. We will always give you 60 days before we exercise these options.

Mockup shown illustrates an item demonstrating your logo or design. Imprint proportion will vary by product size. Colors vary from one computer screen to the next.  Once approved, the order is final. Spirit Gear Direct is not responsible for any discrepancies regarding the above criteria once approved.

Damaged or missing items must be submitted to Spirit Gear headquarters within 2 weeks. Since our garments are custom made items, we cannot accept returns or exchanges for incorrect sizes and colors ordered.  Dye sublimated colors may vary slightly by garment.  With dye sublimation production, we utilize sheets of high temperature foam during production to flatten garments and prevent darts/lines from forming.  While we take great care in prevention, we cannot completely eliminate darts.  Therefore, the chance occurrence of darts and exact color matching cannot be guaranteed. If an item is backordered or sold out, we will gladly either substitute a similar item or issue a full refund.

Client shall be responsible for the collection and remittance of all applicable federal, state, and local taxes, including without limitation, all sales taxes relating to the resale of any merchandise provided pursuant to this Agreement.  This includes the determination of effective state and local tax rates. You agree that you are authorized to enter into this agreement and are over 18 years old on behalf of client. It is your responsibility to ensure that the gear drive flyer is correct in all areas. If artwork contains errors according to client's specifications and is still approved, client is responsible for a $50 fee for related corrections plus cost of any reproduction. Client is 100% responsible for approvals of Copyright, Trademark and Licensing Agreements of artwork.

WHOLESALE ORDER TERMS & CONDITIONS

Garments sized 2XL, 3XL, 4XL & 5XL have an up charge of $2, $3, $4 & $5 respectively.

Free shipping for orders over $250 (48 contiguous states). For orders less than $250 or shipping to AK, HI, Guam & Puerto Rico, Spirit Gear flat-rate shipping applies. Tax applied for CO orders unless a resale or tax exemption certificate is supplied.

GEAR DRIVE ORDER TERMS & CONDITIONS

Group will receive Spirit Gear Drive forms, an instruction sheet, marketing posters, tips for success and tally sheet (if applicable). Return orders (if applicable) with payment and make sure to sort order forms by teacher when submitting!

For gear drives with less than 50-item minimum (35 for gear drives ran between Jan 1 - June 30), not including free or promotional items, group agrees to a charge of $10 per item below the minimum (example: 31 items for a spring gear drive means a $40 charge).  For cancelled or zero item gear drives, group agrees to a $200 cancellation fee. If product or cash incentives are provided up-front or as a signing incentive, repayment is due upon cancellation. All promotional offers require a 100 paid item minimum to qualify.
